TODAY'S HEADLINES *** Motorola Reaches Deal with Icahn on Board Members *** By Agence France-Presse Motorola said April 7 it reached an agreement with corporate raider Carl Icahn to appoint two board members from the billionaire's candidates and end litigation. The agreement calls for William Hambrecht, founder of WR Hambrecht & Co., and Keith Meister, a managing director of Icahn investment funds, to be nominated to Motorola's board at the 2008 annual shareholder meeting. In addition, Meister was added to Motorola's board, effective immediately. Motorola also agreed to seek input from Icahn related to "significant matters" involving the planned separation of Motorola's mobile devices business, including its search for a chief executive for this business. "As part of the settlement agreement, all pending litigation between Motorola and Carl Icahn will be dismissed," the company said. "This is a very positive step for Motorola in that shareholder representatives will have strong input into board decisions affecting the future of our company," said Icahn. Icahn, who owns a stake in Motorola, has been pressuring the company to take steps to boost shareholder value. He appeared to win a victory when Motorola announced last month it would split into two independent, publicly traded companies in an effort by the struggling telecom and wireless firm to regain market leadership. The move will split its Mobile Devices division, which has been lagging in the market for handsets and other mobile phones, and its Broadband & Mobility unit, which makes wireless modems, TV set top boxes and other equipment. Copyright Agence France-Presse, 2008 *** China, New Zealand Sign Free Trade Pact *** By Peter Harmsen, Agence France-Presse New Zealand signed a free-trade agreement with China on April 7, making it the first developed economy to enter such a pact with China, officials said. The agreement, which will eventually all but eliminate tariffs between the two nations, will also have positive effects in other areas, said New Zealand Prime Minister Helen Clark, who attended the signing ceremony in Beijing. The agreement came after 15 rounds of negotiations stretching back nearly four years and despite some criticism of Clark for pushing ahead with the pact during China's crackdown on unrest in Tibet. New Zealand has committed itself to abolishing all tariffs imposed on imports from China by January 1, 2016, the Chinese ministry of commerce said. China will scrap tariffs on 97.2% of imports from New Zealand by January 1, 2019, according to the commerce ministry. When the deal comes into force, tariffs for 63.6% of products imported to New Zealand from China and 24.3% of imports into China from New Zealand will be cut to zero, the ministry said. "By reducing barriers to trade in goods, services and investment in China, the FTA will give New Zealand businesses a distinct advantage over competitors into that market," said New Zealand Trade Minister Phil Goff. Two-way trade between the two nations hit 7.5 billion New Zealand dollars (US$5.9 billion) in 2007, according to official estimates from Auckland. Copyright Agence France-Presse, 2008 *** W.R. Grace Settles Asbestos Personal Injury Claims *** Compiled By Adrienne Selko W.R. Grace & Co. on April 7 announced an agreement in principle that would settle all present and future personal injury claims. The agreement, reached with the Official Committee of Asbestos Personal Injury Claimants, the Future Claimants Representative and the Official Committee of Equity Security Holders, requires the following assets to be paid into a trust: * Cash in the amount of $250 million; * Warrants to acquire 10 million shares of Grace common stock at an exercise price of $17 per share, expiring one year from the effective date of a plan of reorganization; * Rights to proceeds under Grace's insurance coverage; * The value of cash and stock under the litigation settlement agreements with Sealed Air Corp. and Fresenius Medical Care Holdings, Inc.; and * Deferred payments at $110 million per year for five years beginning in 2019, and $100 million per year for ten years beginning in 2024. "This agreement in principle is a very important step in emerging from Chapter 11," said Fred Festa, Grace's Chairman, President and Chief Executive Officer. "In this challenging global marketplace, we need to be able to focus all of our efforts on increasing shareowner value and continued improvement in our core businesses. The agreement and the Plan of Reorganization that will be based on it will be good for our shareholders, customers, creditors, and our employees. A lot of work remains to be done before we can confirm a Plan of Reorganization, but I am optimistic we will be successful in reaching that goal by the end of this year or early in 2009." Grace is a global supplier of catalysts and other products to petroleum refiners; catalysts for the manufacture of plastics; silica-based engineered and specialty materials for a wide-range of industrial applications; sealants and coatings for food and beverage packaging, and specialty chemicals, additives and building materials for commercial and residential construction. The euro changed hands at 1.5753 dollars against US$1.5709 late on April 7, at 160.77 yen (161.86), 0.7970 pounds (0.7901) and 1.5897 Swiss francs (1.5918). The dollar stood at 102.12 yen (102.37) and 1.0094 Swiss francs (1.0130). The pound was at 1.9778 dollars (1.9880). ***Courts*** Taiwan's Asustek Computer Sues IBM: (AFP) Asustek Computer Inc. said April 7 it had filed a patent infringement suit against International Business Machines Corp. in a U.S. court earlier this month. "We sued IBM for its infringing two of our patents related to storage on the Internet and server technology," said an Asustek spokesman. Asustek's move is part of a legal battle that started in December, when IBM filed a complaint with the US International Trade Commission against Asustek and its North American subsidiary ASUS Computer International. IBM sought import restrictions on some Asustek computer products and components, which it claims infringed its patents. Asustek produces a wide range of information technology products, including personal computers, motherboards, servers and broadband equipment. ***Emerging Technology*** Hynix Announces 'Fastest' One-Gigabit Chip: (AFP) South Korea's Hynix Semiconductor said April 6 it has developed what it calls the fastest data-processing one-gigabit memory chip for cellphones and other mobile applications. Hynix, the world's number-two chipmaker, said the new chip can process data at 800 megabits per second, which it said outstrips existing chips on the market. "It is designed to meet the needs of a wide range of moible applications which demand high memory density and fast operating speed features," it said.
